Senior Counsel – Technology & IP Transactions

About the role

Lummus Technology is seeking a Senior Counsel to join its Brno office. The role supports the company’s rapid growth by providing legal leadership on joint development, technology licensing, and M&A transactions across a global portfolio.

Key responsibilities

• Draft and negotiate joint development agreements, commercial cooperation agreements, and other strategic technology transactions.
• Prepare and negotiate asset purchase agreements and related M&A documentation.
• Review and advise on investment-related agreements, including stock purchase and investor rights documents.
• Lead the creation of IP ownership frameworks, risk‑mitigation strategies, and governance models for strategic deals.
• Conduct IP‑focused legal due diligence and manage external counsel to ensure cost‑effective support.
• Develop a deep understanding of Lummus’s technologies and align legal strategies with business objectives.

Required profile

• Law degree from an accredited law school.
• 8+ years of relevant legal experience, preferably in technology licensing and IP transactions.
• Strong understanding of intellectual property law and its commercial application.
• Experience with IP aspects of M&A transactions.
• Fluent English, both written and spoken.
